1. Each restricted stock unit represents at settlement the right to receive one share of common stock.

2. The Reporting Person was granted a Restricted Stock Unit on April 27, 2018 of 1,200,000 shares that shall vest 1/3 on the first anniversary of the grant date and 2/3s over the next 8 quarters thereafter on an equal basis if the Reporting Person is still employed by the Company

3. These restricted stock units were granted pursuant to the Company's Amended and Restated 2016 Stock Incentive Plan.
