Explanation of Responses:

1. This is a grant of restricted stock units under the VWR Corporation 2014 Equity Incentive Plan (the "Plan"). The restricted stock units vest annually over four years.

2. The stock options are subject to the terms of the Plan and are unvested on the date of grant. The stock options will vest over 4 years, with 25 percent vesting on the first anniversary of the grant date and 6.25 percent vesting quarterly thereafter.
