For comparison, Life Sciences Research Inc., which has amarket cap of $122 million, pays its CEO a salary of $660,000, with the CEO’s total compensation equaling $1,660,000. [It is similarly not in the best interests of the Company’s shareholders when the Company’s CEO and the Company fail to disclose information required under the U.S. federal securities laws. After commencing an investigation in 1999, in 2004 the Commission filed a complaint against Mr. Geller based on certain violations of Section 13(d) of the Exchange Act. The parties settled, with Mr. Geller agreeing to pay a civil penalty in the amount of $85,000.] [See p. 4 of Mr. Geller’s Schedule 13D/A filed with the Commission on February 14, 2007.] [In addition, in November 2008, the Company received, but failed to publicly disclose, the resignation notices from its Chief Financial Officer and Chief Accounting Officer although we notified the Company of its disclosure obligation under the Exchange Act.
