Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On August 1, 2015, Westmoreland Resource Partners, LP (the “Partnership”) entered into Amendment No. 1 to its Fourth Amended and Restated Agreement of Limited Partnership (the “LPA Amendment”). The LPA Amendment establishes the terms of the Partnership’s previously disclosed Series A Convertible Units any additional Series A Convertible Units that may be issued in kind as a distribution.
The description of the LPA Amendment contained in this Current Report on Form 8-K is not complete and is qualified in its entirety by reference to the full text of the LPA Amendment, which is filed as Exhibit 3.1 hereto and incorporated by reference herein.
