2. A portion of these shares represent Restricted Stock Units ("RSUs"). Each RSU represents a contingent right to receive one share of the Issuer's common stock.

3. The reported price in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $70.00 to $70.79 per share, inclusive. The Reporting Person undertakes to provide to the Issuer, any security holder of the Issuer, or to the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the range set forth in this footnote.

4. The reported price in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $70.20 to $70.80 per share, inclusive. 5. 25% of this option vested and became exercisable on January 31, 2019, with the remainder vesting in thirty-six (36) equal monthly installments thereafter.
