Explanation of Responses:

1. Option to purchase Common Stock granted by the Issuer pursuant to the Issuer's Third Amended and Restated 2011 Stock Option and Incentive Plan (the "Plan"), qualified under Rule 16b-3(d).

2. The option shall vest and become exercisable with respect to 25% of the shares covered by the grant on June 18, 2016, subject to the Reporting Person's continued service to the Issuer through such date, with the balance to vest in equal monthly installments over the next succeeding three year period, subject to the Reporting Person's continued service to the Issuer through each such date.
