2. Annual grant of stock options.

3. Receipt of restricted stock units as a result of reduction in directors' cash compensation.

4. The restricted stock units will be settled 100% in Issuer's common stock when vested on June 15, 2025.

5. The restricted stock units previously issued and vested upon one year of service were settled 100% in Issuer's common stock.
