Explanation of Responses:

1. Reflects a bona fide gift of shares of common stock of the Issuer indirectly held by the Reporting Person through 1000396766 Ontario Inc. ("Ontario Inc.") (which were previously contributed by the Reporting Person to Ontario Inc. in an exempt transaction pursuant to Rule 16a-13) to the Ashe (2022) Family Trust (the "Ashe Trust").

2. The reported shares of the Issuer are directly held by Ontario Inc., an entity over which the Reporting Person retains sole investment and voting control. The common shares of Ontario Inc. are held by the Ashe Trust, a trust of which the Reporting Person and his spouse are trustees and the Reporting Person, his spouse and his children are beneficiaries.

3. The Reporting Person disclaims beneficial ownership of the reported shares except to the extent of his pecuniary interest therein.
