Item 8.01 Other Events.
On October 17th, Hall MOM, LLC ("Plaintiff") filed suit in the State of Texas against the Company alleging breach of contract to reacquire its investment in Digital Payment Processing Limited ("DPPL"), an Indian enterprise majority-owned by the Company. Plaintiff alleges damages on the date the suit was filed of $1,000,000, including pre-judgment and post-judgment interest. The Company has engaged its external legal counsel and intends to vigorously dispute the alleged damages.
