1. Amount of securities beneficially owned following reported transaction consists of direct ownership of securities acquired and indirect beneficial ownership of 3,285 shares of common stock in Employee Stock Purchase Plan.

2. Price is weighted average selling price per share. Shares were sold in 123 transactions at prices ranging from $17.30 per share to $17.69 per share.

3. Option is exercisable, commencing on the date indicated, as to 25% of the aggregate number of shares listed and as to an additional 25% of such shares on each of the succeeding three anniversaries of such date.
