Item 1.01. Entry into a Material Definitive Agreement.
On August 17, 2015, Fifth Street Finance Corp. (“FSC”) entered into an amendment to the Loan and Servicing Agreement (the “Amendment”) with respect to its $125 million revolving credit facility (“Sumitomo Facility”) with Sumitomo Mitsui Banking Corporation (“SMBC”), as administrative agent, collateral agent and lender. Under the Amendment, the interest rate of the Sumitomo Facility has been changed fromLIBOR plus 2.25% per annum to either (i) LIBOR plus 2.00%, if the borrowings under the Sumitomo Facility are greater than 35% of the aggregate available borrowings under the facility or (ii) LIBOR plus 2.25% per annum, if the borrowings under the Sumitomo Facility are less than or equal to 35% of the aggregate available borrowings under the facility.
In addition, the period during which FSC may make borrowings under the Sumitomo Facility was extended from September 16, 2016 to September 16, 2017 and the maturity date of the Sumitomo Facility was extended from September 16, 2020 to September 16, 2021.
