Item 5.03. Amendments to articles of Incorporation or Bylaws; Change in Fiscal Year.
On February 26, 2010, the board of directors and stockholders approved an amendment to the Company’s Certificate of Incorporation changing the Company’s name from InovaChem, Inc. to NuGen Holdings, Inc. The Certificate of Amendment to the Certificate of Incorporation became effective on March 4, 2010.

On February 26, 2010, the majority of the Company’s stockholders approved the adoption of the Company’s 2010 Stock Option Plan. A copy of the 2010 Stock Option Plan was filed with the Current Report on Form 8-K filed with the SEC by the Company on February 17, 2010.
