1. MusclePharm Corporation issued a $6,000,000 secured convertible note to Mr. Drexler. The interest rate is 8% and the note will mature on January 15, 2017.

2. As of the Transaction Date, Mr. Drexler has not acquired any derivative securities.

3. Exerciseable immediately at the election of the reporting person.

4. As of the date hereof, Mr. Drexler has an indirect ownership interest of 1,431,924 common stock shares via Consac, LLC.
