1. Conversion of Exercise Price of Derivative Securities is 1-for-1.

2. Restricted Stock Units are entitled to dividend equivalent rights which accrue on dividend record dates.

3. Restricted stock units vested 15% on 4/2/12, 15% on 4/2/13, 20% on 4/2/14, and 20% on 4/2/15. The remaining units vest 30% on 4/2/16.
