Explanation of Responses:

1. These shares are represented by restricted stock units (RSUs) granted on April 13, 2022 as part of the Issuer's annual compensation cycle, pursuant to which (1) 6.25% of 110,865 shares subject to the RSUs will vest quarterly commencing May 1, 2022 and (2) 50% of 83,149 shares subject to the RSUs will vest on each of May 1, 2023 and May 1, 2024.
