Apple Hospitality REIT, Inc. (which is referred to below as the “Company”) is filing this report in accordance with Item 2.03 of Form 8-K.
Item 2.03. Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.
As previously disclosed, the Company is party to the Second Amended and Restated Credit Agreement, dated as of July 27, 2018, by and among the Company, as borrower, certain of the Company’s subsidiaries, as guarantors, Bank of America, N.A., as administrative agent, and the lenders party thereto (the “Credit Agreement”), which governs the Company’s $425 million revolving credit facility (the “Revolving Credit Facility”) that matures on July 27, 2022, and which may be extended up to one year if certain conditions are satisfied. The material terms of the Credit Agreement and the Revolving Credit Facility are described in the Company’s Current Report on Form 8-K filed with Securities and Exchange Commission (the “SEC”) on August 1, 2018, which descriptions are incorporated by reference herein.
As of March 20, 2020, the Company had $425 million outstanding under the Revolving Credit Facility, which includes the Company’s draw on March 19, 2020 of $100 million from the Revolving Credit Facility and a draw on March 20, 2020 of the remaining $145 million available under the Revolving Credit Facility. The Revolving Credit Facility bears interest, subject to certain exceptions, equal to an annual rate of the one-month LIBOR plus a margin ranging from 1.40% to 2.25%, depending upon the Company’s leverage ratio, as calculated under the terms of the Credit Agreement.
The Company increased its borrowings under the Revolving Credit Facility as a precautionary measure in order to increase its cash position and preserve financial flexibility in light of current uncertainty in the global markets resulting from the COVID-19 virus. The Company’s balance of cash and cash equivalents on its balance sheet as of March 24, 2020 is approximately $445 million. In accordance with the terms of the Credit Agreement, the proceeds from the incremental Revolving Credit Facility borrowings may in the future be used for general corporate or other purposes permitted by the Credit Agreement.
