On January 9, 2020, the Reporting Person was granted a restricted stock unit award under the Issuer's 2017 Equity Incentive Plan subject to satisfaction of certain performance conditions that were established at the time of the Board's approval of the award on January 9, 2020. The performance conditions were satisfied on June 15, 2020.

2. Reflects a 15-to-1 reverse stock split which became effective on June 15, 2020.
