On April 18, 2007, the Board of Directors approved the amendment of Article V of the Company’s Bylaws to allow for the issuance of uncertificated Shares of the Company’s stock. Amended and Restated Bylaws are attached as Exhibit 3.2. The amendment is effective as of April 18, 2007.
