EXPLANATORY NOTE:We are filing this Amendment No. 1 (the “Amendment”) to our Current Report on Form 8-K, which was originally filed with the Securities and Exchange Commission (the “SEC”) on January 26, 2012 (the “Original Filing”) to correct the Company’s address as the suite number was incorrect on the Original Filing. The correct address is 7337 E Doubletree Ranch Road #190, Scottsdale, AZ 85258. Other than the foregoing, no changes have been made to the Original Filing.

Change in Transfer Agent
Effective as of November 1, 2011, Routh Stock Transfer, Inc., the transfer agent of First Resources Corp. a Nevada Corporation (the “Company”) was acquired by Securities Transfer Corporation. Accordingly, Securities Transfer Corporation is the new transfer agent and registrar of the Company’s Common Stock.
