1. Sales made pursuant to a 10(b)5-1 plan adopted by the Reporting Person in accordance with Rule 10(b)5-1 of the Securities Exchange Act of 1934, as amended.

2. The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $112.85 to $113.80, inclusive. Upon the request of any security holder of the Issuer, or the staff of the Securities and Exchange Commission, full information regarding the number of shares sold at each separate price within the ranges set forth in this Form 4 shall be provided.

3. The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $113.85 to $114.70, inclusive. Upon the request of any security holder of the Issuer, or the staff of the Securities and Exchange Commission, full information regarding the number of shares sold at each separate price within the ranges set forth in this Form 4 shall be provided.

4. The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $115.00 to $115.55, inclusive. Upon the request of any security holder of the Issuer, or the staff of the Securities and Exchange Commission, full information regarding the number of shares sold at each separate price within the ranges set forth in this Form 4 shall be provided.

5. 25% of the shares subject to this option vested on May 23, 2014, and an additional 25% of the shares subject to this option vest annually thereafter, such that 100% of the shares subject to this option will be fully vested on May 23, 2017. This option also provides for accelerated vesting in the event that the Reporting Person's employment is terminated in connection with an acquisition of the Issuer.
