SECTION 2 – FINANCIAL INFORMATION
Item 2.03. Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.
On March 20, 2013, the Company entered into a Loan Agreement with three accredited investors for an aggregate loan of $600,000 (the “Bridge Loan”). Repayment of the Bridge Loan is due September 15, 2013 by repayment in cash or tendering a total of 600 ounces of gold (provided the price of gold is at least $1,500 per ounce as of the repayment date; if not, additional ounces of gold may be due under the Agreement).
