Explanation of Responses:

1. Restricted stock shares granted pursuant to the Brookline Bancorp, Inc. 2021 Stock Option and Incentive Plan. The shares vest in three equal installments on an annual basis, commencing one year from the date of grant.

2. Performance based restricted stock shares granted pursuant to the Brookline Bancorp, Inc. 2021 Stock Option and Incentive Plan. The shares vest on the third anniversary of the date of grant based on certain performance based metrics.

3. As previously reported, on August 4, 2020, the reporting person received a grant of performance based restricted stock. A portion of the performance metrics were met, therefore a portion of these restricted shares vested on the third anniversary of the date of grant and the remaining shares were automatically forfeited.

4. Includes shares of restricted stock granted pursuant to the Brookline Bancorp, Inc. 2021 Stock Option and Incentive Plan.

5. Reflects ESOP allocations and distributions that have occurred since the reporting person's last ownership report.
