Explanation of Responses:

1. The Board of Directors on August 26, 2019, changed the vesting date of the Issuer's Series D Preferred Stock from January 4, 2022 to August 27, 2019. Each share of the Series D Preferred Stock converts into 100,000 shares of the Issuers Common Stock. The Reporting Person owns 25 shares of the Series D Preferred Stock which are convertible into 2, 5000,000 shares of the Issuers' Common Stock at any time.

2. This amount includes 322,829 shares of common stock, options to purchase 775,000 shares of common stock, 77,171 shares obtainable from the conversion of 244 shares of the Series C Preferred Stock and 2,500,000 shares obtainable from the conversion of 25 shares of Series D Preferred Stock.
