Item 1.01 Entry into a Material Definitive Agreement.
On May 6, 2011, PMFG, Inc. (the “Company”) entered into an amendment (the “Amendment”) to its Revolving Credit and Term Loan Agreement, dated April 30, 2008, among Peerless Mfg. Co., PMC Acquisition, Inc., the Company, the other borrowers party thereto, Comerica Bank and other lenders party thereto (the “Credit Agreement”).
The purpose of the Amendment is to modify the definition of Consolidated Fixed Charges to exclude distributions paid to the holders of the Company’s Series A convertible preferred stock from the definition and therefore from the consolidated fixed charge coverage ratio. The Amendment also waives any noncompliance or default by the Company with its current financial covenants, including its consolidated fixed charge coverage ratio and its consolidated total leverage ratio during the quarter ended April 2, 2011.
