On October 8, 2010, the Board of Directors of China Century Dragon Media, Inc. (the "Company") approved an Amended and Restated Code of Conduct and Ethics (the "Amended Code") that applies to all of the directors, officers and employees of the Company. The Amended Code addresses, among other things, honesty and ethical conduct, conflicts of interest, compliance with laws, regulations and policies, including disclosure requirements under the federal securities laws, confidentiality, trading on inside information, and reporting of violations of the code. The Amended Code supersedes the Company’s previously adopted code of ethics. A copy of the Amended Code is filed as Exhibit 14.1 to this report and is incorporated herein by reference.
