Item 5.07. | Submission of Matters to a Vote of Security Holders. |
At a Special Meeting of Members (the “Special Meeting”) of Southwest Iowa Renewable Energy, LLC (the “Company”) held on August 7, 2023, the members voted on the following proposals which are further described in the Proxy Statement relating to the Special Meeting filed with the Securities and Exchange Commission June 28, 2023.
Proposal 1: The members approved the reclassification of units into Series A Units, Series B Units, Series C Units and Series D Units for the purpose of discontinuing the registration of units under the Securities Exchange Act of 1934 (the “Reclassification”):

Proposal 2: The members approved amending and restating the Fifth Amended and Restated Operating Agreement (the “Current Operating Agreement”) to provide for four separate and distinct series of units as set forth in the proposed Sixth Amended and Restated Operating Agreement (the “Proposed Operating Agreement”) to affect the Reclassification and to modify the Current Operating Agreement to better align with the Company’s status as a private company:
