On June 15, 2017, Fox Factory Holding Corp. (the “Company”) received a letter from The Nasdaq Stock Market LLC confirming that, as a result of the appointment of Ms. Elizabeth A. Fetter to the Company’s board of directors, the Company has regained compliance with the requirements for continued listing on The Nasdaq Global Select Market set forth in listing rule 5605(b)(1), which requires that the majority of the board be composed of independent directors, and the matter is now closed.
