EXPLANATORY NOTE
Explanatory Note
On September 3, 2009, Mesa Energy Holdings, Inc. (the “Company”) filed with the Securities and Exchange Commission a Current Report on Form 8-K (the “Initial 8-K”) to report, among other things, a change in the Company’s certifying accountant. The Company is filing this Amendment No. 1 to the Initial 8-K to provide the Exhibit 16.1 letter from the Company’s former accountant.
