Explanation of Responses:

1. The stock options vest equally, quarterly, commencing on January 1, 2020.

2. The stock options were issued to the Reporting Person under the Issuer's 2019 Equity Incentive Plan for his role as an officer and director of the Issuer.

3. Shares issued to Reporting Person under the terms of a Stock Purchase Agreement wherein the Reporting Person agreed to forgive $9,656.03 in accounts payable owed to him in exchange for the shares.
