| Item 1.01 | Entry into a Material Definitive Agreement. |
The Registrant owns an interest in LEAF Commercial Finance Fund, LLC which, through a subsidiary, has a loan with Morgan Stanley Asset Funding Inc. The parties to the loan agreement entered into an eighth amendment thereto, pursuant to which the maturity date was extended to April 22, 2010. In addition, the lender waived all of the identified covenant breaches of the loan agreement.
The Registrant owns an interest in LEAF Funding, LLC which, through a subsidiary, has a loan with Morgan Stanley Asset Funding Inc. and The Royal Bank of Scotland PLC. The parties to the loan agreement entered into a ninth amendment thereto, pursuant to which the maturity date was extended to April 22, 2010. In addition, the lender waived all of the identified covenant breaches of the loan agreement.
