The Registrant requires additional time to complete its annual report on Form 10-K for the year ended December 31, 2009. The Registrant is analyzing recent credit facility amendments as they relate to the Registrant, and their effect, if any, on the Registrant’s disclosures. The Registrant expects to file its annual report on Form 10-K for the year ended December 31, 2009 within the fifteen day extension period.

As a result of the current economic recession in the United States, the Registrant expects a material change for the year ended December 31, 2009 as compared to the year ended December 31, 2008. Total partners’ capital is expected to increase to approximately $80.3 million as of December 31, 2009 as compared to approximately $31.7 million as of December 31, 2008. Total assets are expected to be approximately $530.2 million as of December 31, 2009 as compared to $32.3 million as of December 31, 2008. Annual total revenues are expected to be approximately $29.1 million for 2009 as compared to $255,000 for 2008. Net (loss) attributable to the Registrant is expected to be approximately ($22.6) million for the year ended December 31, 2009 as compared to a net loss of ($1.3) million for the year ended December 31, 2008.
