1. The restricted stock units (the "RSUs") convert into Loop Industries, Inc.'s (the "Issuer") common stock on a one-for-one basis.

2. The RSUs were vested but had been deferred in the form of stock units and were settled on June 28, 2019 in shares of the Issuer's common stock on a one-for-one basis at the end of the Reporting Person's term as director.
