(d) On December 5, 2019, the Board of Directors of Bristol-Myers Squibb Company appointed Michael Bonney to the Audit Committee and the Integration Committee, Dr. Julia A. Haller to the Science & Technology Committee and Phyllis Yale to the Committee on Directors and Corporate Governance. As previously reported on the Current Report on Form 8-K filed on September 12, 2019, Michael Bonney, Dr. Julia A. Haller and Phyllis Yale were elected to serve as members of the Board of Directors, effective November 20, 2019. The size of the Board of Directors was increased to fourteen, effective November 20, 2019, in connection with the election of these new Directors.
