Explanation of Responses:

1. The shares are held by SG-Disco, LLC ("SG-Disco"). The Stephens Group, LLC ("The Stephens Group") is the sole manager of SG-Disco and has voting and dispositive power over the shares held by SG-Disco. Investment and voting decisions with respect to the shares beneficially owned by The Stephens Group are made by W.R. Stephens, Jr. and Elizabeth S. Campbell, acting as an executive committee. Mr. Stephens and Ms. Campbell may be deemed to possess voting and dispositive control over the shares held by SG-Disco.

2. Each share of Series C Preferred Stock, Series D Preferred Stock, Series E Preferred Stock and Series F Preferred Stock is convertible at any time at the option of the holder, without payment of additional consideration, into Common Stock, on a one for one basis, has no expiration date and is expected to automatically convert into shares of Common Stock upon the closing of the Issuer's initial public offering.
