Explanation of Responses:

1. Reporting person was awarded performance shares under the 2013 Incentive Plan subject to both the meeting of certain performance goals and continued employment to a certain date. The compensation committee determined on February 23, 2016 that the performance goals had been met as to 6477 shares of a grant on April 5, 2013; those shares vesting entirely upon continued employment until April 5, 2016.

2. The balance includes an additional 1,851 restricted stock shares previously granted, subject to time vesting.
