Item 1.01 | Entry into a Material Definitive Agreement

Lease Agreement
On November 12, 2018, Roku, Inc. (the “Company”) entered into the First Amendment to Office Lease (the “Amendment”) with CAP PHASE 1, LLC (the “Landlord”), which amended that certain Office Lease dated August 1, 2018 (the “Lease”) to expand the square footage rented under the Lease from approximately 97,751 square feet to 194,549 square feet (the “Additional Premises”). The Amendment provides for an increase in base rent under the Lease to a total amount of $700,376.40 per month, with annual upward adjustments of 3% of the then-current base rent thereafter.
The foregoing description is not intended to be a comprehensive summary and is qualified by the terms of the Amendment. A copy of the Amendment will be filed as an exhibit to the Company’s Annual Report on Form 10-K for the year ending December 31, 2018.
