Effective September 22, 2021, the Board of Directors of Radius Health, Inc. (the “Company”) amended Article X of the Company’s Amended and Restated Bylaws (the “Bylaws”) to change the federal forum selection from the United States District Court for the District of Massachusetts to the federal district courts of the United States of America as the sole and exclusive forum for resolving any complaint asserting a cause of action arising under the Securities Act of 1933, as amended, unless the Company consents in writing to the selection of an alternative forum.
