Explanation of Responses:

1. The Restricted Stock Units convert into common stock on a one for one basis due to vesting on February 20, 2018.

2. Each unit is the economic equivalent of one share of the Company's common stock. The restricted stock units were granted on February 18 , 2018, and vest and settle in three equal installments on the first three anniversaries of the grant date, subject to continued employment with the Company.

3. These stock options were granted on February 18, 2018, and vest and become exercisable in four equal annual installments on the first four anniversaries of the grant date, subject to continued employment.

4. Each unit is the economic equivalent of one share of the Company's common stock. The restricted stock units were granted on February 20, 2017, and vest and settle in three equal installments on the first three anniversaries of the grant date, subject to continued employment with the Company.
