Explanation of Responses:

1. The Reporting Person was granted 30,000 shares of restricted common stock of the Issuer on August 14, 2019 in connection with his joining the Issuer's Board of Directors. The shares vest one-third annually beginning on August 14, 2020.

2. The Reporting Person reported on a single line all such transactions that occurred within a one-dollar price range. The range of prices for the purchase transactions on October 25, 2019, was $1.28 to $1.34. The Reporting Person hereby undertakes to provide upon request by the Securities Exchange Commission staff, the issuer, or a shareholder of the issuer, full information regarding the number of shares purchased at each separate price.
