Explanation of Responses:

1. The Reporting Person was granted 50,000 shares of restricted common stock of the Issuer in July 2015 for his service on the Issuer's Board of Directors. The shares vest one-third annually beginning on July 15, 2016. The Reporting Person deferred the receipt of 80% of the vested shares on July 14, 2017 and instead received 13,333 shares of deferred restricted stock units pursuant to the Issuer's Deferred Compensation Plan for Directors (the "Plan"). As a result, the Reporting Person is reporting the disposition of 13,333 shares of Issuer common stock in exchange for an equal number of deferred restricted stock units.

2. Each deferred restricted stock unit will be settled in one share of the Issuer's common stock at the time and in the manner set forth in the Plan.
