1. The number of shares previously reported in the original Form 3 did not reflect the exchange rate for the shares issued in the reverse acquisition transaction which required the filing of the report.

2. Shares are held by BioTech Holdings, LLC, of which Dr. Ichim is President. Dr. Ichim disclaims beneficial ownership of such shares of common stock except to the extent of his pecuniary interest therein.
