Item 1.01 Entry into a Material Definitive Agreement
On March 26, 2010, we entered into an amending agreement to the previously amended share exchange agreement with Guangdong Hongmao Industrial Co., Ltd., a People’s Republic of China Corporation (“Guangdong”), and the shareholders of Guangdong Hongmao Industrial Co., Ltd. (“Guangdong Shareholders”) dated August 24, 2009 and originally dated February 2, 2009. Our company has agreed to issue 1,500,000 its common shares to Guangdong Shareholders as consideration for the purchase, by our company, of all of the issued and outstanding common shares of Guangdong held by the Guangdong Shareholders.
A copy of the amending agreement is attached hereto as Exhibit 10.1. Except as amended by this amending agreement, and the amending agreement of August 24, 2009, the share exchange agreement remains unamended and in full force and effect.
