Item 8.01          Oak Valley Bancorp has reached an agreement with the U. S. Treasury to repurchase shares

On May 3, 2012, Oak Valley Bancorp repurchased from the U.S. Treasury 6,750 shares of Non-Cumulative Perpetual Preferred Stock, Series B, for aggregate consideration of $6.75 million. The shares had been issued to the U.S. Treasury in September 2011 in connection with Oak Valley Bancorp’s participation in the U.S. Treasury Small Business Lending Fund Program.
