Explanation of Responses:

1. Includes 47,170 shares represented by restricted stock units (the "RSUs"). Each RSU represents a contingent right to receive one share of Class A Common Stock of the Issuer. One-quarter (1/4) of the RSUs will vest on September 5, 2023, with the remaining RSUs vesting in twelve (12) equal quarterly installments thereafter, subject to the Reporting Person's continued service with the Issuer on each such vesting date.
