Explanation of Responses:

1. 25% of the shares subject to the Stock Option vest and become exercisable on November 19, 2019. The remaining shares vest and become exercisable thereafter in 36 equal monthly installments.

2. Each restricted stock unit represents a contingent right to receive one share of ACADIA common stock.

3. The restricted stock units vest in four equal annual installments beginning November 19, 2019.
