Explanation of Responses:

1. On December 3, 2021, the reporting person exercised a warrant to purchase 4,000,000 shares of the Issuer's common stock for $11.50 a share. The reporting person paid the exercise price on a cashless basis, resulting in the issuer withholding 1,772,640 of the warrant shares to pay the exercise price and issuing to the reporting person the remaining 2,227,360 shares.

2. dMY Sponsor III, LLC is the record holder of the securities reported herein. Harry L. You is the manager of dMY Sponsor III, LLC and has voting and investment discretion with respect to the securities held of record by dMY Sponsor III, LLC.
