Explanation of Responses:

1. This reflects the vesting of certain performance based restricted stock units, originally granted on April 5, 2013, with respect to 1/3 of the original award based on performance during the 2015 performance period. 2,630 of these shares were previously reported on a Form 4 filed on April 9, 2013, and are reported again due to the vesting of those shares, plus an additional 500 previously unreported shares on March 3, 2016. The total securities owned has been updated to reflect this vesting and the prior reporting.

2. This reflects the vesting of certain performance based restricted stock units, originally granted on April 16, 2014, with respect to 1/3 of the original award based on performance during the 2015 performance period. 1,915 of these shares were previously reported on a Form 4 filed on April 22, 2014, and are reported again due to the vesting of those shares, plus an additional 364 previously unreported shares on March 3, 2016. The total securities owned has been updated to reflect this vesting and the prior reporting.
