Explanation of Responses:

1. The shares of Common Stock were issued to the reporting person pursuant to the Diligent Corporation 2013 Incentive Plan in respect of Q4 2015 service as a non-employee director. The grant for Q4 2015 service represented a value of US$20,000.00. The number of shares issued was determined based on the exchange rate of US$1.00 to NZ$1.5244 on the last business day prior to the grant date and the volume weighted average trading price of the Common Stock for the 20 trading days immediately prior to the grant date.
