Item 8.01. Other Events.
On August 30, 2013 New Zealand Daylight Time, Diligent Board Member Services, Inc. (the “Company”) issued an announcement relating to certain no-action determinations by the New Zealand Stock Exchange concerning the timing of the Company’s preliminary half year announcement and half year report pursuant to the rules of the New Zealand Stock Exchange, and the Company’s use of a U.S. independent registered public accountant that is not registered under the New Zealand Auditor Regulation Act.
A copy of the announcement, dated August 30, 2013 New Zealand Daylight Time, is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference herein.
