Explanation of Responses:

1. Represents share units accrued under the Non-Employee Director Deferred Compensation plan as of March 30, 2018.

2. Includes (1) 42,438 shares held directly by the reporting person and (2) 3,178 share units accrued under the Non-Employee Director Deferred Compensation Plan, including 18 share units accrued in connection with the cash dividend declared by the company effective March 30, 2018.

3. Includes (1) 42,438 shares held directly by the reporting person and (2) 3,821 share units accrued under the Non-Employee Director Deferred Compensation Plan.

4. The rights accrued when and as cash dividends were reinvested in securities and vest on the same terms as the RSUs to which they relate with vested shares delivered shortly after vesting.

5. Represents 4,888 RSUs originally granted on May 15, 2017 plus prior dividends and 28 RSUs issued effective March 30, 2018 in connection with the company's cash dividend.
